The terms that govern use of DeHoff & DeHoff, PC software and services, including our internal QuickBooks Online bookkeeping integration.
These Terms of Service and End-User License Agreement ("Terms") govern your access to and use of the software, tools, and services provided by DeHoff & DeHoff, PC ("we," "our," or "us"), including our internal bookkeeping automation software that integrates with QuickBooks Online (the "Software"). By accessing or using the Software or authorizing us to connect to your accounting data, you agree to these Terms.
The Software is proprietary, internal-use software operated by DeHoff & DeHoff, PC to deliver bookkeeping and accounting services to our clients. It connects to Intuit QuickBooks Online through Intuit's official API to read financial data and to record, categorize, and reconcile transactions on behalf of clients we serve, under an engagement with the firm.
The Software is licensed, not sold. We grant authorized personnel of DeHoff & DeHoff, PC and our engaged clients a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the purpose of providing and receiving bookkeeping services. You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from the Software.
When you authorize the connection, the Software accesses your QuickBooks Online company data only to the extent necessary to perform bookkeeping services. We use that data solely to provide those services and do not sell it or use it for any unrelated purpose. Our use of Intuit APIs and data is subject to Intuit's applicable terms and developer agreements. You may disconnect the integration at any time through your QuickBooks Online account.
You agree not to use the Software for any unlawful purpose, to interfere with its operation, to attempt unauthorized access to any system or data, or to use it in any manner that violates Intuit's terms or applicable law.
As a CPA firm, we are bound by professional confidentiality standards and applicable federal and state laws governing the privacy of financial information, including the Gramm-Leach-Bliley Act (GLBA). We treat all client financial data accessed through the Software as confidential. Our handling of information is further described in our Privacy Policy.
We implement appropriate technical and organizational measures to protect financial data accessed through the Software against unauthorized access, disclosure, alteration, or destruction. Access credentials and tokens are stored securely and limited to authorized personnel.
The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Software will be uninterrupted, error-free, or that any particular result will be achieved. Nothing in these Terms limits our professional responsibilities under applicable accounting standards for services we perform.
To the fullest extent permitted by law, DeHoff & DeHoff, PC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Software.
We may suspend or terminate access to the Software at any time. Upon termination, the license granted to you ends and you must cease all use of the Software. Disconnecting the QuickBooks Online integration terminates the Software's access to your data.
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles.
We may update these Terms periodically. Any changes will be posted on this page with an updated effective date. Continued use of the Software after changes constitutes acceptance of the revised Terms.
